End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between the individual or entity ("You" or "User") and APPsolute Best LLC (“Licensor,” “We,” “Us,” or “Our”) governing your use of the software product ("Software"), including any associated services or documentation made available through the Atlassian Marketplace. By using the Software, You agree to comply with the terms outlined in this EULA.

1. Definitions

1.1 “Software” means the proprietary software application(s) provided by APPsolute Best LLC.
1.2 “Documentation” refers to any manuals, user guides, or other materials provided by Us in connection with the Software.
1.3 “Licensee” refers to the individual or legal entity licensing the Software.

2. License Grant

We grant You a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for Your internal business purposes, subject to the terms of this EULA. You may not sub-license, rent, or lease the Software. The Software may not be used for any illegal or unauthorized purposes.

3. License Restrictions

You agree not to:

  • Reverse-engineer, decompile, or disassemble the Software except as permitted by law.
  • Modify, distribute, or create derivative works based on the Software.
  • Use the Software in any way that violates local, national, or international laws.
  • Use the Software in any manner not expressly authorized by this EULA.

4. Third-Party Services

The Software may integrate with or access services provided by third parties (including Atlassian services). APPsolute Best LLC is not responsible for the terms and conditions or privacy practices of those third-party services.

5. Data Collection and Privacy

At this time, the Software does not collect or store any personal data. If this changes, We will notify You via our website and amend this EULA accordingly.

6. Support and Maintenance

We may, at Our discretion, provide You with support or maintenance services for the Software. Any updates or enhancements are subject to the terms of this EULA.

7. User Responsibilities

You are responsible for ensuring that Your use of the Software complies with all applicable laws and regulations. You agree to use the Software in compliance with Our Acceptable Use Policy, which is available on Our website.

8. Indemnification

You agree to indemnify and hold harmless APPsolute Best LLC, its affiliates, and its licensors from any claims, liabilities, or damages arising from Your misuse of the Software, including any violation of this EULA or any applicable laws.

9. Audit Rights

We reserve the right to audit Your use of the Software to ensure compliance with this EULA, including confirming that You have the necessary licenses and are using the Software in accordance with its terms.

10. Termination

We may terminate this EULA and Your access to the Software if You fail to comply with its terms or fail to make required payments. Upon termination, You must immediately cease using the Software and destroy any copies in Your possession.

11. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind. APPsolute Best LLC disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, APPsolute Best LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, even if APPsolute Best LLC has been advised of the possibility of such damages. Furthermore, APPsolute Best LLC is not liable for any actions or omissions by the user in connection with their use of the Software. The Software is provided "as is," and APPsolute Best LLC assumes no liability for any direct or indirect consequences arising from its use.

13. Governing Law

This EULA is governed by and construed in accordance with the laws of the state of Washington, USA, without regard to its conflict of law provisions.

14. Modifications to the Agreement

We reserve the right to modify this EULA at any time. Any changes will be communicated via a website update, and continued use of the Software constitutes acceptance of any revised terms.

Acceptable Use Policy
